Terms and Conditions for VITAS App

These Terms of Service (“Terms”) govern your access to and use of VITAS Hospice Services LLC’s websites, mobile applications, and related services (collectively, the “Services”). By accessing or using the Services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services.

VITAS may revise these Terms from time to time by posting updated Terms. Your continued use of the Services after such changes indicates your acceptance of the revised Terms.

Not Medical Advice

The information provided through the Services is for general informational purposes only and is not intended as medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider with any questions regarding medical conditions or care options, including hospice care.

Eligibility

The Services are not intended for use by individuals under the age of 13. By using the Services, you represent that you meet this eligibility requirement.

Account Registration and Security

You may be required to create an account to access certain features of the Services. You agree to provide accurate, complete, and current information and to maintain the confidentiality of your account credentials.

You are responsible for all activities that occur under your account and agree to notify VITAS immediately of any unauthorized access or use. You may be held liable for losses incurred by VITAS or any other user of or visitor to the Site due to someone else using your password or account as a result of your failing to keep your account credentials secure and confidential.

Third Party Authentication

VITAS may allow you to register or sign in using third party authentication. When you choose this option, VITAS may receive certain information from the third party provider, such as your name, email address, profile picture, or other information permitted by your privacy settings with that provider.

Your use of third party authentication services is subject to their respective terms and privacy policies. VITAS does not control and is not responsible for the practices of these third parties.

Privacy and Health Information

Your use of the Services is subject to VITAS’s Privacy Policy and Notice of Privacy Practices, which are incorporated into these Terms by reference.

Certain information you provide may be considered protected health information (PHI) under applicable law. VITAS complies with applicable health privacy laws, including HIPAA, where required. However, not all information collected through the Services is PHI, and not all uses of the Services create a provider patient relationship.

Information Security

VITAS implements reasonable administrative, technical, and physical safeguards designed to protect your information. However, no method of transmission over the internet or mobile networks is completely secure, and VITAS cannot guarantee absolute security.

Communications sent via email or other unencrypted methods may be subject to interception. By submitting information electronically, you acknowledge and accept these risks.

The submission of an electronic message to us does not create or constitute any relationship between you and VITAS (its directors, officers, employees, shareholders, agents or representatives) or create a communication to which any privilege may attach.

Lawful Use

You agree to use the Services only for lawful purposes and not to:

Violate any applicable laws or regulations
Infringe upon the rights of others, including privacy or publicity rights
Misrepresent your identity or affiliation
Attempt to gain unauthorized access to systems or data

Violation of these provisions may result in suspension or termination of your access and may expose you to civil or criminal liability.

Links to Third Party Sites

The Services may contain links to third party websites or services provided for convenience only. VITAS does not endorse and is not responsible for the content, products, or practices of third party sites. Accessing such sites is at your own risk.

No Warranties

THIS SITE AND THE MATERIALS, INFORMATION, SERVICES AND PRODUCTS REFERRED TO IN IT, INCLUDING, WITHOUT LIMITATION, TEXT, GRAPHICS AND LINKS, ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESSED OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, VITAS DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR PARTICULAR PURPOSE, NON-INFRINGEMENT, FREEDOM FROM COMPUTER VIRUS AND WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE. VITAS DOES NOT REPRESENT OR WARRANT THAT THE FUNCTIONS CONTAINED IN THIS SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THIS SITE, OR THE SERVER THAT MAKES THE SITE AVAILABLE, ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. VITAS DOES NOT MAKE ANY WARRANTIES OR REPRESENTATIONS REGARDING THE USE OF THE MATERIALS IN THIS SITE IN TERMS OF THEIR COMPLETENESS, CORRECTNESS, ACCURACY, ADEQUACY, USEFULNESS, TIMELINESS, RELIABILITY OR OTHERWISE. YOUR SOLE REMEDY AGAINST VITAS FOR DISSATISFACTION WITH THE SITE OR ANY CONTENT IS TO STOP USING THE SITE OR ANY SUCH CONTENT. THIS LIMITATION OF RELIEF IS A PART OF THE BARGAIN BETWEEN THE PARTIES.

Limitation of Liability

To the maximum extent permitted by law, VITAS shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or related to your use of or inability to use the Services.

Some jurisdictions do not allow certain limitations, so these limitations may not apply to you.

Indemnification

You agree to indemnify and hold harmless VITAS and its officers, directors, employees, agents, and affiliates from any claims, damages, liabilities, costs, or expenses arising from your use of the Services or violation of these Terms.

User Content and Feedback

You retain ownership of any content you submit through the Services. By submitting content, you grant VITAS a non exclusive, perpetual, irrevocable, royalty free, worldwide license to use, reproduce, modify, distribute, and display such content in connection with the Services.

Feedback and suggestions may be used without obligation or compensation.

Termination

VITAS may suspend or terminate your access to the Services at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to VITAS or others.

App Store Terms

If you access the Services via a mobile application distributed through the Apple App Store or Google Play Store, you acknowledge that these Terms are between you and VITAS only, and not Apple Inc. or Google LLC. VITAS is solely responsible for the Services and their content.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Exclusive jurisdiction for any dispute shall lie in the state or federal courts located in Miami Dade County, Florida.

Any claim must be brought within one (1) year after the cause of action arises.

Trademarks and Copyright

VITAS, the VITAS logo, and related marks are trademarks of VITAS Hospice Services LLC. All content within the Services is protected by applicable intellectual property laws and may not be used except as expressly permitted.

Other Terms and Conditions

Additional terms and conditions may apply to the Services or to specific portions or features of the Site, all of which terms are made a part of these Terms by this reference. If there is a conflict between these Terms and the terms posted for or applicable to a specific portion of the Site or for any Service offered on or through the Site, the latter terms shall control with respect to your use of that portion of the Site or the specific Service.

Miscellaneous

If any of the provisions of these Terms are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms, so that these Terms shall remain in full force and effect. These Terms constitute the entire agreement between you and VITAS with regard to your use of the Site, and any and all other written or oral agreements or understandings previously existing between you and VITAS with respect to such use are hereby superseded and cancelled.

VITAS will not accept any counteroffers to these Terms, and all such offers are hereby categorically rejected. VITAS’ failure to insist on or enforce strict performance of these Terms shall not be construed as a waiver by VITAS of any provision or any right it has to enforce these Terms, nor shall any course of conduct between VITAS and you or any other party be deemed to modify any provision of these Terms.

These Terms shall not be interpreted or construed to confer any rights or remedies on any third parties.
